Terms and Conditions

Governing Provision

ABMART INC., (“ABMART”) agrees to provide to Client certain custom antibody services (the “Services”) identified and agreed upon by the parties expressly conditional on Client’s assent to the terms and conditions contained herein. Client agrees that the terms of Client’s purchase order or any other document supplied by Client to ABMART shall not be of any force or effect, except to the extent ABMART agrees in writing thereto.

Description of services and fees

Detailed materials, application guarantee, technical design, production schedule and project deliverables are specified in the Project Plan. Client agrees to pay ABMART fees for the Services according to the service packages and additional service selected.

Payment

Customer shall make full payment before project initiation except the parties agree otherwise. Payment via PayPal, wire transfer, check and PO number are accepted. All payments are due in US dollars.

Materials and information

Client will provide ABMART with sufficient amounts of materials such as antigens, samples, or other substances needed to perform the Services (“Client Materials”), as well as comprehensive data or information needed by ABMART to perform the Services as specified in the Project Plan. Unless otherwise requested by the Client, upon completion of the Services any remaining Client Materials will be destroyed.

Performance standard and schedule

ABMART will perform all Services using due care in accordance with the Project Plan and generally prevailing industry standards. ABMART will make a good faith effort to start and complete all Services within the timeline as specified in the Project Plan, unless unexpected complications delay the process. Such potential complications will be reported to the Client within 5 business days. ABMART will start the project after the following conditions are met:

  • • The Client has provided all required information and materials and these materials have met quality control standards as specified in the Project Plan;
  • • ABMART has received required payment from the Client.

Such initiation date will be used as the official project start date for the purpose of calculating project delivery time. ABMART shall periodically report project progress to the Client.

Project delivery and service guarantee

After project completion, ABMART shall ship the final project deliverables as defined in the Project Plan to the Client. All deliverables are internally quality controlled to meet the standards as defined in the Project Plan. Except for under extraordinary circumstances, ABMART will refund the Client in full unless the contracted products are delivered according to the standards set forth in the Project Plan.

Shipping

For international customers, samples and deliverables are shipped through Fedex international Priority mail. Except catalog antibody shipment to US and Canada, there will be a $100 shipping and handling fee per shipment. Additional charges may apply for large packages. Changes

Changes to the Services Agreement must be in writing and signed by authorized representatives of ABMART and Client. If such changes result in an increase in the cost of the Services or affect the projected completion date of the Services, the fee and/or completion date shall be adjusted to a degree commensurate with such changes. Cancellation of Services in progress will result in a partial charge commensurate with the percentage of work completed at the time of cancellation.

Confidentiality

ABMART and the Client agree that all confidential information including but not limited to project scope, contract terms, pricing information, product development technologies and processes, and business related information, shall not be disclosed to any third party and both parties receiving confidential information shall only make internal use of the confidential information.

Miscellaneous

Neither ABMART nor Client shall be responsible for failure or delay in performance of its obligations related to the Services due to causes beyond its reasonable control, including but not limited to, acts of God, governmental actions, fire, labor difficulty, shortages, civil disturbances, transportation problems, interruptions of power or communications, failure of suppliers or subcontractors, or natural disasters.
